Welcome to Roshoon (“Roshoon,” “we,” “us,” or “our”).

Roshoon is a technology and marketplace platform established in the State of New York that connects independent chefs, cooks, bakers, caterers, food businesses, and other food sellers (“Chefs”) with individuals and businesses seeking to purchase food products (“Customers”) throughout the United States.

Roshoon provides a platform through which Chefs and Customers may discover one another, communicate, and facilitate transactions. Roshoon is not a restaurant, food manufacturer, food preparer, caterer, food distributor, food handler, or seller of the Food Products offered by Chefs.

These Terms & Conditions (“Terms”) govern your access to and use of the Roshoon website, application, marketplace, technology, and related services (collectively, the “Platform”). By accessing, registering for, or using the Platform, including by creating an account, listing Food Products, contacting a Chef, placing an order, or otherwise using the Platform, you agree to these Terms. If you do not agree to these Terms, you must not use the Platform.

1. Definitions

1.1 “Chef”

“Chef” means an independent individual, business, cook, baker, caterer, food producer, pop-up, or other food seller that uses the Platform to advertise, offer, or sell Food Products.

1.2 “Customer”

“Customer” means an individual or business that uses the Platform to discover, communicate with, or purchase Food Products from a Chef.

1.3 “Food Products”

“Food Products” means food, beverages, baked goods, prepared meals, catering products, packaged food, or other consumable products offered by Chefs through the Platform.

1.4 “Platform”

“Platform” means Roshoon's website, application, marketplace, software, technology, communications systems, and related services.

2. Roshoon's Role as a Marketplace

Roshoon is a technology marketplace that connects independent Chefs and Customers. Roshoon does not prepare, manufacture, package, store, possess, inspect, test, transport, deliver, or sell Food Products offered by Chefs, unless Roshoon expressly states otherwise in writing.

The sale of Food Products is a transaction between the applicable Chef and Customer. Roshoon does not become a party to the underlying sale merely because the transaction is initiated, facilitated, communicated, or processed through the Platform. Roshoon does not take ownership or title to Food Products offered by Chefs. Roshoon does not guarantee that any Chef or Customer will complete a transaction.

Roshoon does not independently verify or guarantee:

  • The identity of a Chef

  • The quality of Food Products

  • The safety of Food Products

  • The ingredients used

  • Allergen information

  • Preparation methods

  • Sanitation practices

  • Licenses or permits

  • Certifications

  • Insurance

  • Compliance with federal, state, county, or local law

  • The accuracy of information provided by a Chef

  • The legality of a Chef's operations

  • The outcome of any transaction

The appearance of a Chef or Food Product on Roshoon does not constitute an endorsement, certification, approval, recommendation, or guarantee by Roshoon.

3. Nationwide Marketplace and Applicable Laws

Roshoon is established in New York and provides its Platform to users throughout the United States. Because Chefs and Customers may be located in different states, each user is responsible for complying with all laws and regulations applicable to that user's activities, location, and transaction.

Food-safety, cottage-food, commercial-kitchen, catering, licensing, labeling, health-department, tax, consumer-protection, delivery, and other requirements may differ between states, counties, cities, and municipalities. A Chef must independently determine which requirements apply to the Chef's operations. Roshoon does not represent that a Chef's Food Products or business activities are lawful in every jurisdiction. A Chef must not use Roshoon to offer Food Products in a jurisdiction where the Chef is prohibited from doing so.

4. Independent Chefs

Chefs are independent sellers and businesses. Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, agency, fiduciary relationship, or other similar relationship between Roshoon and a Chef.

Roshoon does not control the Chef's food preparation methods, kitchen operations, staffing, sourcing, recipes, ingredients, facilities, or business operations. A Chef is solely responsible for the Chef's business and Food Products. Calling a Chef an independent seller does not alter any legal status that may arise under applicable law based on the parties' actual conduct.

5. Chef Responsibilities

Every Chef using Roshoon agrees to:

  • Provide accurate, complete, and current information.

  • Operate in compliance with all applicable federal, state, county, municipal, and local laws.

  • Obtain and maintain all licenses, permits, registrations, certifications, approvals, and authorizations required for the Chef's activities.

  • Where applicable, prepare Food Products in a commercial kitchen or other facility that is legally permitted and appropriate for the Chef's activities. Roshoon may provide a Commercial Kitchen Directory as a convenience to help Chefs identify potential kitchen facilities. Chefs are solely responsible for verifying that any facility they use meets all applicable legal and regulatory requirements.

  • Comply with all applicable food-safety and public-health requirements.

  • Comply with applicable sanitation, preparation, storage, temperature-control, packaging, transportation, and handling requirements.

  • Provide legally required labeling and product information.

  • Provide accurate ingredient and allergen information.

  • Avoid false, deceptive, misleading, or unsupported claims.

  • Maintain appropriate records required by applicable law.

  • Maintain any insurance required by law or reasonably required by Roshoon.

  • Promptly notify Roshoon of any material food-safety incident, suspected contamination, recall, regulatory investigation, governmental action, or serious Customer complaint.

  • Cooperate with lawful investigations involving the Chef or Food Products.

  • Pay applicable taxes and governmental charges for the Chef's business, except where applicable law expressly places an obligation on Roshoon.

  • Not offer illegal, prohibited, adulterated, contaminated, or unsafe Food Products through Roshoon.

6. Food Safety

Food safety is the sole responsibility of the applicable Chef, subject to any responsibilities that applicable law expressly imposes on Roshoon. Chefs are solely responsible for:

  • Food preparation

  • Food handling

  • Food storage

  • Food temperature

  • Ingredient sourcing

  • Sanitation

  • Packaging

  • Labeling

  • Allergen information

  • Cross-contact prevention

  • Transportation where performed by the Chef

  • Food quality

  • Food safety

  • Compliance with applicable food regulations

Roshoon does not inspect or certify Chef kitchens or Food Products unless expressly stated in writing.

Chefs must comply with all applicable federal, state, county, municipal, and local food-safety and public-health laws and regulations. Where applicable or required by law, Chefs must prepare Food Products in a commercial kitchen or other legally permitted facility. Roshoon may provide a Commercial Kitchen Directory as a convenience to help Chefs identify potential kitchen facilities. Inclusion in the directory does not constitute an endorsement, inspection, certification, approval, or guarantee by Roshoon that any listed facility satisfies applicable legal or regulatory requirements. Chefs are solely responsible for determining whether a facility is legally permitted and appropriate for their activities.

7. ANSI Certification and Food-Safety Assistance

Roshoon may, where appropriate, provide Chefs with educational information, resources, referrals, or administrative assistance intended to help Chefs understand or pursue applicable food-safety training, certifications, or standards, including certifications involving ANSI-accredited organizations.

Roshoon does not issue ANSI certifications and does not guarantee that any Chef will obtain, maintain, or qualify for any certification. Certification decisions are made by the applicable certification, training, accreditation, or regulatory organization. Any assistance provided by Roshoon is intended to help Chefs navigate available resources and does not constitute legal, regulatory, food-safety, or certification advice. The Chef remains solely responsible for meeting all certification and legal requirements.

8. Chef Listings

Chefs are responsible for the accuracy of their listings. A Chef must accurately describe Food Products, including applicable:

  • Ingredients

  • Allergens

  • Quantity

  • Pricing

  • Product characteristics

  • Dietary claims

  • Preparation information

  • Pickup or delivery information

  • Other material information required by law

Chefs must not make false or misleading claims. Roshoon may remove, modify, restrict, or disable any listing that Roshoon reasonably believes violates these Terms, applicable law, Platform policies, or presents a safety or legal concern.

9. Allergies and Dietary Restrictions

Food Products may contain allergens and may be prepared in environments where allergens or other substances are present. Chefs are responsible for providing accurate information required by applicable law.

Customers are responsible for reviewing available information and communicating relevant allergies or dietary restrictions directly to the Chef before purchasing where appropriate. Roshoon does not guarantee that any Food Product is allergen-free, contamination-free, or safe for any particular allergy or dietary restriction. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

10. Customer Responsibilities

Customers agree to:

  • Provide accurate information.

  • Review Food Product descriptions before purchasing.

  • Review available ingredient and allergen information.

  • Communicate relevant allergies and dietary restrictions to the Chef.

  • Use the Platform lawfully.

  • Treat Chefs and Roshoon personnel respectfully.

  • Not submit fraudulent complaints or refund claims.

  • Not intentionally misuse chargebacks or payment disputes.

  • Not engage in harassment, threats, fraud, or unlawful conduct.

Customers acknowledge that Food Products are provided by independent Chefs rather than Roshoon.

11. Customer Complaints and Chef Disputes

To the maximum extent permitted by applicable law, Roshoon is not responsible for complaints, claims, disputes, damages, injuries, losses, refunds, food-safety issues, allergic reactions, dissatisfaction, or other disputes arising between a Customer and a Chef concerning the Chef, the Chef's Food Products, or the Chef's conduct.

This includes, without limitation, complaints concerning:

  • Food quality, taste, or freshness

  • Ingredients or allergens

  • Foodborne illness or alleged foodborne illness

  • Preparation, packaging, or labeling

  • Quantity or pricing established by the Chef

  • Pickup or delivery arranged or performed by the Chef

  • Representations made by the Chef

  • Cancellations

  • Chef conduct

  • Any other aspect of the Chef-Customer relationship

The applicable Chef is responsible for addressing claims relating to the Chef's Food Products and conduct, subject to applicable law. Roshoon may, but is not required to, assist with communications or dispute resolution. Any assistance provided by Roshoon does not mean that Roshoon assumes responsibility for the underlying dispute or admits liability.

12. Roshoon Investigation and Protective Actions

Although Roshoon is not responsible for the Chef's Food Products, Roshoon may investigate complaints or reports that could affect the safety, integrity, legality, or operation of the Platform. Roshoon may:

  • Contact a Chef

  • Request documentation, proof of permits, or certifications

  • Request insurance information

  • Temporarily remove Food Products

  • Suspend a Chef or restrict account functionality

  • Notify Customers

  • Cooperate with regulators

  • Preserve relevant information

  • Take other reasonable protective measures

Roshoon is not required to conduct an investigation in every instance.

13. Food-Safety Incidents and Recalls

If Roshoon becomes aware of a suspected food-safety incident, contamination, recall, regulatory issue, or other material safety concern, Roshoon may immediately remove or disable affected listings and/or suspend the applicable Chef. Roshoon may also notify affected Customers and cooperate with public-health authorities or other governmental agencies.

Chefs must promptly cooperate with reasonable requests relating to such matters. Chefs must immediately notify Roshoon if they become aware of:

  • A recall or suspected contamination

  • A serious food-safety incident

  • A governmental food-safety investigation

  • A regulatory violation

  • Other circumstances that may create a material safety risk to Customers

14. Law Enforcement and Government Authorities

Roshoon will cooperate with law enforcement agencies, courts, public-health authorities, regulators, and other governmental authorities when required by applicable law or legal process. Roshoon may also cooperate when Roshoon reasonably believes that doing so is necessary or appropriate to:

  • Protect users or the public

  • Prevent fraud

  • Investigate suspected unlawful activity

  • Address threats to safety

  • Protect Roshoon's rights or property

Roshoon may disclose information when legally required or legally permitted, including in response to subpoenas, court orders, warrants, governmental requests, or other lawful processes.

15. Payments and Fees

Roshoon may charge service fees, transaction fees, processing fees, subscription fees, or other fees disclosed through the Platform. Applicable fees may be deducted from amounts otherwise payable to Chefs. Roshoon may change its fees by providing reasonable notice through the Platform or other appropriate means.

Chefs are responsible for providing accurate payment information. Where permitted by applicable law, Roshoon may deduct amounts owed by a Chef from future amounts payable to that Chef.

16. Refunds, Cancellations, and Chargebacks

Roshoon may establish policies regarding refunds, cancellations, payment disputes, and chargebacks. Where permitted by applicable law and applicable payment-network rules, Roshoon may:

  • Process or facilitate refunds

  • Respond to chargebacks or reverse transactions

  • Suspend or delay payouts

  • Establish reasonable reserves

  • Deduct amounts from future Chef payouts

  • Recover amounts owed by a Chef

Any refund or credit provided by Roshoon does not necessarily constitute an admission of liability by Roshoon.

17. Account Security

Users are responsible for maintaining the confidentiality of their account credentials. Users must:

  • Keep login information secure

  • Not share accounts except as expressly permitted

  • Provide accurate information

  • Notify Roshoon of unauthorized account access

  • Remain responsible for activity conducted through their account, subject to applicable law

18. Suspension and Termination

Roshoon may suspend, restrict, remove, or terminate access to the Platform when Roshoon reasonably believes that doing so is necessary or appropriate. Reasons may include:

  • Violation of these Terms or suspected illegal activity

  • Food-safety or regulatory concerns

  • Fraud, misrepresentation, or failure to provide requested documentation

  • Repeated Customer complaints, payment disputes, or excessive chargebacks

  • Threatening or abusive conduct

  • Risk to Customers, Chefs, or Roshoon

  • Other legitimate legal, safety, operational, or business reasons

Roshoon may take immediate action without advance notice when reasonably necessary to protect users, comply with law, or address a safety or legal concern.

19. Intellectual Property

Roshoon owns or licenses the Platform and its related intellectual property, including software, designs, trademarks, logos, branding, graphics, and technology. Chefs retain ownership of content they own and provide to Roshoon.

By uploading photographs, menus, descriptions, logos, names, trademarks, or other content, a Chef grants Roshoon a non-exclusive, worldwide, royalty-free license to use, reproduce, display, modify, distribute, and publish that content as reasonably necessary to operate, promote, advertise, and improve Roshoon. The Chef represents that the Chef has the necessary rights to provide such content.

20. Reviews and User Content

Users may be permitted to submit ratings, reviews, photographs, comments, or other content. Users must not submit content that is:

  • Fraudulent, defamatory, or misleading

  • Threatening, harassing, or discriminatory

  • Unlawful or infringing

  • Otherwise prohibited by these Terms

Roshoon may remove or restrict content that violates these Terms or applicable law.

21. Taxes

Chefs are responsible for determining and satisfying their tax obligations arising from their activities on Roshoon, except where applicable law expressly imposes an obligation on Roshoon. Because tax requirements may differ between jurisdictions, each Chef is responsible for understanding the tax laws applicable to the Chef's activities. Roshoon may collect, report, or remit taxes where required by applicable law.

22. Third-Party Services

The Platform may rely on third-party services, including payment processors, hosting providers, communications providers, mapping services, analytics providers, or other technology providers. Roshoon is not responsible for the independent acts, omissions, outages, or failures of third-party service providers except to the extent applicable law provides otherwise. Third-party services may be subject to their own terms and policies.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ROSHOON DOES NOT GUARANTEE THAT THE PLATFORM WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, OR UNINTERRUPTED. ROSHOON DISCLAIMS WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH DISCLAIMERS ARE PROHIBITED BY LAW.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROSHOON AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATED TO:

  • USE OF THE PLATFORM OR INABILITY TO USE THE PLATFORM

  • INFORMATION PROVIDED BY USERS OR THIRD-PARTY SERVICES

  • ANY OTHER MATTER RELATED TO THE CHEF-CUSTOMER RELATIONSHIP

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROSHOON'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE FEES ACTUALLY PAID BY THE CLAIMANT TO ROSHOON DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

25. Chef Indemnification

To the maximum extent permitted by applicable law, each Chef agrees to defend, indemnify, and hold harmless Roshoon and its owners, officers, directors, employees, contractors, affiliates, agents, and service providers from and against claims, demands, actions, proceedings, damages, losses, liabilities, penalties, fines, costs, and reasonable attorneys' fees arising out of or relating to:

  • Fraud or illegal conduct

  • Misuse of the Platform

  • Violation of these Terms

  • Intentional or negligent misconduct

27. Insurance

Roshoon may require Chefs to maintain appropriate insurance based on the Chef's business, Food Products, location, sales volume, or other risk factors. Roshoon may request reasonable evidence of insurance. Failure to provide requested evidence may result in suspension or termination of the Chef's account.

28. Privacy

Roshoon collects, uses, stores, and discloses personal information in accordance with its Privacy Policy. By using the Platform, users acknowledge and agree to the applicable Privacy Policy. Users should review the Privacy Policy for information regarding the collection and use of personal information.

29. Electronic Communications and Acceptance

By using the Platform, users consent to receive electronic communications concerning accounts, transactions, orders, security, policies, legal notices, and Platform operations. Where permitted by applicable law, electronic records and communications may satisfy legal requirements for written communications.

By clicking an acceptance button, checking an acceptance box, creating an account, listing Food Products, placing an order, or otherwise using the Platform after being presented with these Terms, the user acknowledges that they have had an opportunity to review these Terms and agrees to be bound by them to the extent permitted by applicable law.

30. Changes to These Terms

Roshoon may update these Terms from time to time to reflect changes to the Platform, business practices, applicable laws, regulatory requirements, security practices, or other operational matters. Updated Terms will be posted on the Platform with an updated “Last Updated” date. Where applicable law requires additional notice or affirmative consent, Roshoon will provide such notice or obtain such consent. Continued use of the Platform following the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

31. Governing Law

Because Roshoon is established in New York, these Terms will generally be governed by the laws of the State of New York, without regard to conflict-of-law principles, except to the extent that applicable federal or state law requires the application of another jurisdiction's law or prohibits such choice of law. Nothing in these Terms is intended to deprive a user of rights or protections that cannot lawfully be waived under the laws applicable to that user.

32. Dispute Resolution

Any arbitration provision, class-action waiver, venue provision, or related dispute-resolution mechanism used by Roshoon will apply only to the extent permitted and enforceable under applicable law.

Nothing in these Terms prevents a user from exercising rights that cannot legally be waived.

33. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

34. No Waiver

Roshoon's failure to enforce any provision of these Terms does not constitute a waiver of Roshoon's right to enforce that provision in the future.

35. Entire Agreement

These Terms, together with Roshoon's Privacy Policy and any other policies expressly incorporated into these Terms, constitute the agreement between the user and Roshoon regarding use of the Platform, except for additional written agreements expressly entered into between Roshoon and the user.

36. Assignment

Roshoon may assign or transfer these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, change of control, or similar transaction. Users may not assign their rights or obligations under these Terms without Roshoon's prior written consent, except where prohibited by applicable law.
